These terms govern access to and use of the steply.com.br website and the services offered by Steply. Please read carefully before continuing to browse.

1. Acceptance of terms

By accessing or using the steply.com.br website, the user declares having read, understood and fully agreed to these Terms of Use, as well as the current Privacy Policy. If the user does not agree, in whole or in part, with any of the conditions established herein, they must immediately stop using the site. These terms take effect on the last-update date indicated above and supersede any previous version. Continued use of the site after any changes constitutes tacit acceptance of the new version. We reserve the right to refuse or suspend access of any user who breaches these rules.

2. Purpose and services

Steply is a consulting and development platform for solutions powered by Artificial Intelligence, focused on SDD (Spec-Driven Development), software architecture, end-to-end engineering and internal tooling. The steply.com.br website has an informational and institutional purpose, presenting services, content, cases and contact channels. The actual hiring of any service will occur through a specific contractual instrument, signed between the parties, detailing scope, deadlines, fees, deliverables and obligations. No information on the site, in itself, constitutes a binding proposal or irrevocable commercial offer. Steply may, at any time, change, suspend or discontinue features, content or services presented on the site, without prior notice.

3. Registration and contact form

When filling out contact, briefing or content subscription forms on the site, the user undertakes to provide truthful, complete and up-to-date information, especially name, email and phone number. The user is solely responsible for the information they provide and for the consequences of using third-party data without authorization. Data collected is processed in accordance with Steply's Privacy Policy and applicable data protection laws (in Brazil, Law 13.709/2018 - LGPD). Steply may use the data to respond to requests, send commercial proposals, relevant content and operational communications related to the service. The user may, at any time, request review, update or deletion of their data through the official channels.

4. Intellectual property

The "Steply" brand, logo, visual identity, texts, images, videos, layouts, site source code, product and tool source code, technical materials and all other intellectual property elements displayed on steply.com.br are owned exclusively by Steply, protected by Brazilian copyright laws (Law 9.610/98 and Law 9.279/96) and by international treaties such as the Berne Convention. Reproduction, copying, distribution, transmission, publication, modification, sublicensing or any form of exploitation, in whole or in part, without prior express written authorization from Steply is prohibited. Authorized use does not transfer any ownership rights over the materials. Any content made available under open licenses (such as public repositories on GitHub) follows the specific terms of each license, which prevail over these terms where applicable.

5. Permitted and prohibited use

Users are permitted to browse the site, read and share publicly available content with proper source attribution, make commercial contact, request briefings and hire services offered by Steply. The following is expressly prohibited: reverse engineering any systems or tools; mass scraping, automated data mining or unauthorized content collection; carrying out attacks of any nature (DDoS, injection, brute force, vulnerability exploitation); using the site for illegal, fraudulent, discriminatory, defamatory purposes or those contrary to morality and good manners; distributing, commercializing or republishing content without written authorization; attempting to circumvent security, authentication or tracking mechanisms. Non-compliance may result in immediate access blocking and the adoption of applicable civil and criminal measures.

6. Third-party content

The steply.com.br website may contain links, integrations and references to external services, such as LinkedIn, GitHub, Calendly, Discord, WhatsApp and other third-party platforms. These links are provided solely for user convenience and do not imply endorsement, partnership or responsibility from Steply regarding the content, privacy policies, commercial practices or availability of those sites. Access to external pages is at the user's own risk, who must observe the specific terms and policies of each service. Steply is not liable for direct or indirect damages arising from the user's interaction with third-party sites accessed via links present on steply.com.br.

7. Limitation of liability

The information, content, technical materials and resources available on steply.com.br are provided "as is" and "as available", without warranty, express or implied, of absolute accuracy, completeness, timeliness, fitness for a particular purpose or absence of errors. Steply makes reasonable efforts to keep the site online and its content up to date, but does not guarantee uninterrupted availability or absence of technical failures. To the maximum extent permitted by applicable law, Steply shall not be liable for indirect damages, lost profits, lost revenue, lost data, business interruptions or any losses arising from the use of, or inability to use, the site. Decisions made by the user based on the content of the site are the user's sole responsibility.

8. Modifications and availability

Steply reserves the right to change, supplement or revoke, in whole or in part, these Terms of Use at any time, without the need for individual prior notice. The changes take effect upon publication of the new version on this page, with an update to the "Last updated" date shown at the top. Periodic review of these terms is recommended. Material changes affecting user rights, especially registered users, will additionally be communicated by email provided at registration. Steply may also temporarily suspend the site for maintenance, updates, migrations or security fixes, without that constituting a breach. In case of definitive discontinuation of the site, Steply will make reasonable efforts to notify registered users in advance.

9. Applicable law and jurisdiction

These Terms of Use are governed by the laws of the Federative Republic of Brazil, in particular Law 12.965/2014 (Brazilian Internet Civil Framework), Law 13.709/2018 (Brazilian General Data Protection Law - LGPD), Law 8.078/1990 (Consumer Defense Code, where applicable) and the Brazilian Civil Code. Any disputes arising from the interpretation or execution of these terms shall preferably be resolved through direct negotiation between the parties. Failing an amicable settlement, the parties elect the Courts of the District of São Paulo - SP, Brazil, with express waiver of any other, however privileged. If the user is accessing the site from another jurisdiction, they declare to be aware of and agree to the jurisdiction elected herein, without prejudice to the mandatory rules of their place of residence.
